Access to the Site Calculator ("the Tool") is granted to authorised partners and clients of Lumascendia (MLHARRIS.COM) LTD ("ML Harris") on the terms set out below. The Tool, its underlying methodology, code, content, and outputs are the confidential property of ML Harris. Use of the Tool constitutes acceptance of these Terms. If you do not accept these Terms, do not access or use the Tool.

2. Grant of Access

ML Harris grants each Authorised User a limited, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the Tool, subject strictly to these Terms, solely for the purpose of early-stage site screening and internal evaluation. No other rights are granted by implication, estoppel, or otherwise.

Access Credentials are personal to each Authorised User. Authorised Users must not share, publish, forward, or otherwise disclose Access Credentials to any third party. ML Harris may suspend or revoke access at any time, with or without notice, for any reason.

3. Intellectual Property — Ownership and Reservation of Rights

The Tool and all Intellectual Property Rights in and to the Tool, including without limitation the underlying computational methodology, the selection and arrangement of inputs and outputs, the visual design, the source code, the content of tooltips and annotations, and the industry-reference assumptions embedded therein, are and shall remain the exclusive property of Lumascendia (MLHARRIS.COM) LTD. Nothing in these Terms transfers any IPR to any Authorised User.

The ML Harris name, logo, and visual identity are trade marks of Lumascendia (MLHARRIS.COM) LTD. No rights to use the ML Harris marks are granted by these Terms.

Outputs generated by the Tool are derived from the Authorised User's inputs applied to the Tool's proprietary methodology. Authorised Users may use Outputs for the internal evaluation of the specific site or project for which the inputs were supplied. Any other use — including republication, redistribution, resale, or use to build a competing product — requires the prior written consent of ML Harris.

4. Prohibited Conduct — Non-Reverse-Engineering

Authorised Users must not, and must not permit or encourage any third party to:

  1. reverse engineer, decompile, disassemble, de-obfuscate, or otherwise attempt to derive the source code, algorithms, computational methodology, parameter values, or trade secrets of the Tool, whether in whole or in part, by any means and regardless of purpose, save to the extent that such restriction is expressly prohibited by mandatory law (in which case the Authorised User shall first give ML Harris written notice and a reasonable opportunity to provide the information under commercial terms);
  2. copy, reproduce, modify, adapt, translate, create derivative works of, or prepare any compilation or collective work based on the Tool or any part of it;
  3. scrape, crawl, harvest, index, mirror, or otherwise extract data from the Tool by automated means, including bots, scripts, headless browsers, or scraping tools;
  4. bypass, disable, interfere with, or otherwise circumvent any access control, authentication mechanism, rate limit, or security feature of the Tool;
  5. use the Tool, its Outputs, or any information about the Tool to develop, train, or evaluate any product, service, model, or system that competes with or is substantially similar to the Tool;
  6. use the Tool to provide services to any third party on a commercial basis, whether as a service bureau, consultancy deliverable, or otherwise, without a separate written agreement with ML Harris;
  7. remove, alter, or obscure any proprietary notice, copyright statement, or disclaimer displayed by the Tool;
  8. use the Tool in any manner that is unlawful, fraudulent, misleading, defamatory, or that infringes the rights of any third party;
  9. represent the Outputs as certified engineering advice, professional opinion, or a substitute for regulated professional services; or
  10. publish, cite, or otherwise communicate the Outputs to any third party (including in investment memoranda, planning submissions, or marketing materials) without clearly attributing the Outputs to the Tool, including a link or reference to these Terms, and without including the limitations set out in sections 5 and 6.

5. Nature of the Tool — Indicative Use Only

The Tool produces high-level, order-of-magnitude estimates from the inputs supplied by the Authorised User. It is not a substitute for detailed engineering design, technical due diligence, planning advice, grid-connection studies, environmental impact assessment, or legal and commercial review. Outputs are intended to support early-stage site screening only.

Assumptions embedded in the Tool — including power-factor deductions, rack-footprint standards, redundancy factors, default efficiency ranges, and supporting-infrastructure densities — are illustrative industry references and do not reflect site-specific engineering judgement.

6. No Warranty · No Reliance · No Advice

No warranty. The Tool is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ML Harris disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.

No reliance. Authorised Users must independently verify every Output with qualified chartered engineers, planning consultants, and legal advisors before committing capital, executing agreements, or representing capacity figures to third parties. Reliance on the Tool or its Outputs without independent verification is at the Authorised User's sole risk.

No advice. Nothing produced by the Tool constitutes investment advice, financial advice, legal advice, planning advice, or a professional engineering opinion. Use of the Tool does not create any advisor–client, fiduciary, or professional relationship between ML Harris and the Authorised User.

7. Limitation of Liability

To the fullest extent permitted by law, ML Harris shall not be liable to any Authorised User or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of anticipated savings, or loss or corruption of data, arising out of or in connection with the use of, or inability to use, the Tool or its Outputs, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if ML Harris has been advised of the possibility of such damages.

The aggregate liability of ML Harris to any Authorised User in respect of all claims arising out of or in connection with the use of the Tool shall not exceed £100 (one hundred pounds sterling).

Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot lawfully be excluded or limited.

8. Indemnity

The Authorised User shall indemnify and hold harmless ML Harris and its directors, officers, employees, contractors, and affiliates from and against any claim, action, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with (a) the Authorised User's breach of these Terms, (b) the Authorised User's use of the Outputs, or (c) any third-party claim that the Authorised User's use of the Tool infringed the rights of that third party or caused that third party loss.

9. Confidentiality

Access Credentials, the Tool itself, its methodology, parameter values, and any non-public information made available through the Tool constitute the confidential information of ML Harris. Authorised Users shall protect this information with at least the same degree of care they apply to their own confidential information, and shall not disclose it to any third party without the prior written consent of ML Harris. This obligation survives termination of access.

10. Data Protection

Inputs supplied to the Tool are processed transiently in the Authorised User's browser and are not intentionally collected, stored, or transmitted to ML Harris except to the extent necessary to validate Access Credentials and operate the service. Where ML Harris does process personal data in connection with access administration, it shall do so in accordance with the UK GDPR, the EU General Data Protection Regulation (Regulation (EU) 2016/679), and applicable data protection legislation.

11. Suspension and Termination

ML Harris may suspend or terminate an Authorised User's access to the Tool, at any time and with immediate effect, if (a) the Authorised User breaches or is suspected of breaching these Terms, (b) access credentials are compromised, (c) ML Harris ceases to operate the Tool, or (d) ML Harris is required to do so by law or regulation. On termination, sections 3, 4, 6, 7, 8, 9, 12, and 13 shall survive.

12. Regulatory Context

Authorised Users are responsible for ensuring their own compliance with all laws and regulations applicable to their use of the Tool and the project to which it is applied, including without limitation: the EU Energy Efficiency Directive (Directive 2023/1791/EU), the EU Corporate Sustainability Reporting Directive, the EU Taxonomy Regulation, the F-Gas Regulation (Regulation (EU) 517/2014), the Renewable Energy Directive III, the UK and EU General Data Protection Regulations, the EN 50600 series of European Data Centre standards, and all national implementing legislation. The Tool surfaces selected regulatory thresholds for information only and does not constitute a compliance audit.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any such dispute, without prejudice to any mandatory consumer or data protection rights available to users resident in the European Union, the European Economic Area, or the United Kingdom under local law.

14. Changes to these Terms

ML Harris may amend these Terms from time to time. The effective date of the current version is shown at the top of this page. Continued use of the Tool after the effective date constitutes acceptance of the amended Terms.

15. Entire Agreement · Severability · Assignment

These Terms, together with any written engagement letter or non-disclosure agreement between ML Harris and the Authorised User or the Authorised User's employer, constitute the entire agreement between the parties in respect of the subject matter hereof and supersede any prior understandings. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. The Authorised User may not assign or transfer these Terms without the prior written consent of ML Harris. ML Harris may assign or novate these Terms to any successor entity without consent.
